These Terms and Conditions (“Terms”) govern your use of Springloop (the “Platform”), operated by Motivoriginal Lda, a company incorporated under the laws of Portugal (“we”, “us”, or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Description of the Platform

Springloop is a software platform that enables users to:

• Host and participate in video calls
• Schedule and manage sessions and recurring series
• Record video sessions
• Sell access to sessions through integrated payment systems
• Generate AI-powered content such as summaries, notes, and insights

We reserve the right to modify or discontinue any part of the Platform at any time.

3. Eligibility

To use the Platform, you must:

• Be at least 18 years old
• Have the legal capacity to enter into binding agreements
• Provide accurate and complete information when creating an account

4. User Accounts

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities conducted under your account

You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Payments and Billing

Payments on the Platform are processed through third-party providers, including Stripe.

• Users may charge for access to sessions or services
• Fees, pricing structures, and refund policies may be defined by the user offering the service
• We may charge platform or service fees

We are not responsible for disputes between users regarding payments, except where required by applicable law.

6. Recordings and User Responsibility

Springloop allows sessions to be recorded.

By using the Platform, you acknowledge and agree that:

• Sessions may be recorded by hosts or authorized participants
• You are solely responsible for ensuring that all participants are informed of any recording
• You must obtain all necessary consents required under applicable laws (including GDPR and local regulations)

Motivoriginal Lda:

• Does not verify whether consent has been obtained
• Is not responsible for any unlawful recording or misuse of recordings

7. User Content

You retain ownership of any content you create, upload, or record using the Platform, including:

• Video and audio recordings
• Chat messages
• Documents and other materials

By using the Platform, you grant us a limited, non-exclusive, worldwide license to:

• Host, store, and process your content
• Provide access to authorized participants
• Operate and improve the Platform

8. Acceptable Use

You agree not to:

• Use the Platform for unlawful purposes
• Record individuals without proper consent
• Upload or distribute harmful, abusive, or infringing content
• Interfere with or disrupt the Platform’s operation

We reserve the right to remove content or suspend accounts that violate these rules.

9. AI Features

The Platform may provide AI-generated outputs, including summaries, notes, and recommendations.

You acknowledge that:

• AI-generated content may be inaccurate or incomplete
• Such content is provided for informational purposes only
• You remain responsible for verifying its accuracy

10. Data Protection and Privacy

Your use of the Platform is also governed by our Privacy Policy.

In the context of recorded sessions:

• The user hosting the session typically acts as the data controller
• Motivoriginal Lda acts as a data processor, processing data on behalf of users

11. Service Availability

We aim to provide a reliable service but do not guarantee that the Platform will be:

• Uninterrupted
• Error-free
• Always available

We may perform maintenance or updates that temporarily affect availability.

12. Limitation of Liability

To the maximum extent permitted by law, Motivoriginal Lda shall not be liable for:

• Any indirect, incidental, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Unauthorized access to or use of your data

This limitation applies even if we have been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify and hold harmless Motivoriginal Lda from any claims, damages, or liabilities arising from:

• Your use of the Platform
• Your violation of these Terms
• Your failure to obtain proper consent for recordings

14. Termination

We may suspend or terminate your access to the Platform if:

• You breach these Terms
• We are required to do so by law
• There is suspected misuse or illegal activity

You may stop using the Platform at any time.

15. Changes to These Terms

We may update these Terms from time to time.

If changes are material, we will provide notice through the Platform or other appropriate means.

Continued use of the Platform after changes constitutes acceptance of the updated Terms.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Portugal.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Portugal.
